These Terms of Use apply to your use of Shisa Inc.'s AI-powered services, APIs, and products, along with any associated software applications and websites (all together, "Services"). These Terms form an agreement between you and Shisa Inc., a Delaware corporation ("Shisa", "we", "our", or "us"). By using our Services, you agree to these Terms.

Our Privacy Policy explains how we collect and use personal information. Although it does not form part of these Terms, it is an important document that you should read.

If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

1.1 Agreement to Terms

By creating an account, accessing our website, or using any of our services (including but not limited to our Translation API, TTS API, ASR API, and packaged products), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1.2 Business Use

Our services are designed primarily for business and commercial use. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1.3 Age Requirement

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. Our services are not intended for individuals under 18 years of age.

2. Service Description and Scope

Shisa Inc. provides AI-powered technology services, including language technology, machine learning APIs, and related products. Our services include, but are not limited to:

2.1 API Services

We offer various AI-powered APIs including translation, text-to-speech, speech recognition, language model completions, retrieval-augmented generation (RAG), and other machine learning services. The specific APIs available to you depend on your subscription tier and service agreement.

2.2 Custom Solutions

We provide custom AI solutions for enterprise clients, including model training and fine-tuning, dedicated AI development for specific industries and use cases, and bespoke integration and consulting services.

2.3 Packaged Products

We offer consumer and business applications that leverage our AI technology. These products may include mobile applications, web applications, hardware integrations, and other software solutions. The specific products available are listed on our website and may change over time.

We reserve the right to modify, suspend, or discontinue any service or feature at any time with reasonable notice to active users.

3. User Accounts and Registration

3.1 Account Creation

To access certain services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

3.2 API Keys and Authentication

API access requires authentication tokens or keys. You are responsible for keeping these credentials secure and must not share them with unauthorized parties. We are not liable for any losses resulting from unauthorized use of your API keys.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Acceptable Use Policy and Restrictions

You agree not to use our services to:

  • • Circumventing rate limits
  • • Interfering with service operation
  • • Attempting unauthorized access

4.4 Intellectual Property

  • • Copyright infringement
  • • Trademark violations
  • • Unauthorized use of our brand
  • • Misrepresenting service origin

Violation of these policies may result in immediate suspension or termination of your account and services, without refund.

5. API Usage Terms and Rate Limits

5.1 Rate Limits and Quotas

API usage is subject to rate limits and quotas based on your subscription tier:

Free Tier: Limited requests per minute and monthly quotas

Paid Tiers: Higher limits as specified in your plan

Enterprise: Custom limits negotiated in your agreement

Exceeding rate limits may result in temporary throttling or API access suspension. Systematic abuse of rate limits may result in account termination.

5.2 API Stability and Changes

We maintain API versioning to ensure backward compatibility. We will provide advance notice of breaking changes and maintain deprecated versions for a reasonable transition period. However, we reserve the right to make immediate changes for security or legal compliance reasons.

5.3 Data Processing and Retention

API requests and responses are processed in real-time. We do not store customer content data beyond the immediate processing period, except as required for billing verification or as specified in your service agreement. Usage metadata is retained for operational purposes as described in our Privacy Policy.

6. Payment Terms and Billing

6.1 Subscription Plans

Our services are offered through various subscription tiers (Free, Starter, Pro, Business, Enterprise). Pricing is displayed on our website and may be updated with reasonable notice. Existing subscribers will be notified of price changes at least 30 days in advance.

6.2 Billing Cycle

If you purchase any services, you will provide complete and accurate billing information, including a valid payment method. For paid subscriptions, we will automatically charge your payment method on each agreed-upon periodic renewal until you cancel. You're responsible for all applicable taxes, and we'll charge tax when required.

Payment Processing:

  • Automatic billing through credit card or approved payment methods
  • Invoice payment available for Enterprise plans as agreed in your order form
  • All prices are exclusive of applicable taxes unless stated otherwise
  • If your payment cannot be completed, we may downgrade your account or suspend your access until payment is received

6.3 Cancellation and Refund Policy

You can cancel your paid subscription at any time. Payments are non-refundable, except where required by law. These Terms do not override any mandatory local laws regarding your cancellation rights. If you cancel, you will retain access until the end of your current billing period.

6.4 Credit Rollover (TTS API)

For Text-to-Speech API subscriptions, unused credits may roll over for up to 2 months with an active subscription. Credits expire upon subscription cancellation or after the rollover period.

6.5 Failed Payments

If payment fails, we will attempt to notify you and retry charging your payment method. Continued payment failure may result in service suspension or account termination. You remain responsible for any outstanding amounts owed.

7. Intellectual Property Rights

7.1 Our Intellectual Property

All intellectual property rights in our services, including but not limited to:

  • AI models, algorithms, and training methodologies
  • Software, code, and APIs
  • Trademarks, logos, and brand materials (including "Shisa Inc." and "Shisa.ai")
  • Documentation, guides, and content
  • Service architecture and design

These remain the exclusive property of Shisa Inc. Your use of our services does not grant you any ownership rights to our intellectual property.

7.2 Your Content

You retain all intellectual property rights to the content you submit through our services. By using our services, you grant us a limited license to process, store, and transmit your content solely to provide the services. We do not claim ownership of your content and will not use it to train our general AI models without your explicit consent.

7.3 Your Content and Output

You may provide input to the Services ("Input"), and receive output from the Services based on the Input ("Output"). Input and Output are collectively "Content." You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Services.

Ownership: As between you and Shisa, and to the extent permitted by applicable law, you (a) retain your ownership rights in Input and (b) own the Output. We hereby assign to you all our right, title, and interest, if any, in and to Output.

Similarity of Output: Due to the nature of our Services and artificial intelligence generally, output may not be unique and other users may receive similar output from our Services. Our assignment above does not extend to other users' output.

7.4 Our Use of Content

We may use Content to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies, and keep our Services safe. See our Privacy Policy for more information about how we handle your Content.

7.5 Open Source Components

Some of our services may incorporate open-source software components. Such components are licensed under their respective open-source licenses. Our proprietary components and services remain subject to these Terms.

8. Service Availability and Warranties

8.1 Service Availability

We strive to provide reliable, high-availability services. However, we do not guarantee uninterrupted or error-free service. Scheduled maintenance will be announced in advance when possible. Emergency maintenance may occur without notice.

8.2 Service Level Agreement (SLA)

SLA commitments are provided only to Business and Enterprise tier customers as specified in separate service agreements. Free and Starter tier users receive services on a best-effort basis without guaranteed uptime.

8.3 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS." EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO THE SERVICES, AND DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE OR ERROR FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM OUR SERVICE IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

8.4 AI Content Accuracy Disclaimer

Artificial intelligence and machine learning are rapidly evolving fields. We are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of our Services may result in output that does not accurately reflect real people, places, or facts.

When you use our Services you understand and agree:

  • Output may not always be accurate. You should not rely on output from our Services as a sole source of truth or factual information, or as a substitute for professional advice.
  • You must evaluate output for accuracy and appropriateness for your use case, including using human review as appropriate, before using or sharing output from the Services.
  • You must not use any output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them.
  • Our Services may provide incomplete, incorrect, or offensive output that does not represent Shisa's views.

9. Limitation of Liability

9.1 Limitation of Damages

NEITHER WE NOR ANY OF OUR AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Liability Cap

OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE OR ONE HUNDRED DOLLARS ($100). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

9.3 Exceptions

Some countries and states do not allow the disclaimer of certain warranties or the limitation of certain damages, so some or all of the terms above may not apply to you, and you may have additional rights. In that case, these Terms only limit our responsibilities to the maximum extent permissible in your country of residence.

9.4 Third Party Beneficiaries

SHISA'S AFFILIATES, SUPPLIERS, LICENSORS, AND DISTRIBUTORS ARE INTENDED THIRD PARTY BENEFICIARIES OF THIS SECTION.

10. Indemnification

You agree to indemnify, defend, and hold harmless Shisa Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or applicable laws
  • Your use or misuse of our services
  • Your content or data submitted through our services
  • Infringement of any intellectual property or other rights of any third party
  • Any harm caused to third parties through your use of our services

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

11. Termination and Suspension

11.1 Termination by You

You may terminate your account and these Terms at any time by canceling your subscription through your account dashboard or by contacting our support team. Termination is effective at the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your access to our services immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms or our Acceptable Use Policy
  • Non-payment of fees or fraudulent payment activity
  • Illegal or harmful activities
  • Extended period of inactivity (for free tier accounts)
  • At our discretion if we cease offering services

11.3 Effect of Termination

Upon termination:

  • Your right to use our services will immediately cease
  • Your API keys will be deactivated
  • We may delete your account data after a reasonable grace period (typically 30 days)
  • You remain responsible for any outstanding fees or obligations
  • Provisions intended to survive termination (including payment obligations, liability limitations, and dispute resolution) will continue to apply

11.4 Data Export

You are responsible for exporting any data you wish to retain before account termination. We may provide data export tools but are not obligated to retain your data after termination.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

12.2 Jurisdiction and Venue

Except as provided in the arbitration section below, all claims arising out of or relating to these Terms will be brought exclusively in the federal or state courts located in Delaware, United States. You consent to the personal jurisdiction of such courts and waive any objection to venue therein.

12.3 Mandatory Arbitration

YOU AND SHISA AGREE TO THE FOLLOWING MANDATORY ARBITRATION AND CLASS ACTION WAIVER PROVISIONS:

Binding Arbitration

You and Shisa agree to resolve any claims arising out of or relating to these Terms or our services through final and binding arbitration, except for claims that may be brought in small claims court or claims for injunctive relief to stop unauthorized use or intellectual property infringement.

Informal Resolution First

Before either party files a claim, we both agree to try to resolve the dispute informally. You agree to do so by sending us notice at contact@shisa.ai. If we are unable to resolve the dispute within 60 days, either party has the right to initiate arbitration.

Arbitration Procedures

Arbitration will be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA). The arbitration will be conducted by videoconference if possible, or at a mutually agreed location. The Federal Arbitration Act will govern the interpretation and enforcement of these arbitration terms.

12.4 Class Action Waiver

YOU AND SHISA AGREE THAT ANY DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY, AND MAY NOT BE BROUGHT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Class arbitrations, class actions, and representative actions are prohibited. Only individual relief is available. You and Shisa knowingly and irrevocably waive any right to trial by jury in any action, proceeding, or counterclaim.

13. Changes to These Terms

We reserve the right to modify or update these Terms at any time to reflect changes in our services, legal requirements, or business practices.

Notice of Changes

We will notify you of material changes by:

  • Posting the updated Terms on our website with a new "Last updated" date
  • Sending email notification to your registered email address
  • Displaying a notice on our service dashboard

Effective Date

Changes become effective 30 days after notice is provided, unless we specify a different effective date. Changes addressing legal or security requirements may be effective immediately.

Acceptance of Changes

Your continued use of our services after the effective date constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of our services and cancel your account before the effective date.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Shisa Inc. regarding our services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, labor disputes, or failures of internet or telecommunications infrastructure.

14.6 Trade Controls and Export Compliance

You must comply with all applicable trade laws, including sanctions and export control laws. Our Services may not be used in or for the benefit of, or exported or re-exported to:

  • Any U.S. embargoed country or territory
  • Any individual or entity with whom dealings are prohibited or restricted under applicable trade laws

Our Services may not be used for any end use prohibited by applicable trade laws, and your input may not include material or information that requires a government license for release or export.

14.7 Language

These Terms may be provided in multiple languages for convenience. In the event of any conflict or inconsistency between translated versions, the English version shall prevail.

14.8 Feedback

We appreciate your feedback, and you agree that we may use any feedback, comments, or suggestions you provide without restriction or compensation to you.
